1.Introduction

These terms and conditions apply between you, the User of this Website (including any sub-domains, unless expressly excluded by their own terms and conditions), and LOGICLEAP LTD, the owner and operator of this Website. Please read these terms and conditions carefully, as they affect your legal rights. Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your first use of the Website. If you do not agree to be bound by these terms and conditions, you should stop using the Website immediately.

In these terms and conditions, User or Users means any third party that accesses the Website and is not either (i) employed by LOGICLEAP LTD and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to LOGICLEAP LTD and accessing the Website in connection with the provision of such services.

3.Overseas Orders

We offer delivery of our goods worldwide. We will use our reasonable endeavours to deliver goods outside the United Kingdom, but we make no representation or commitment that goods available in the United Kingdom will be available to order for delivery outside the United Kingdom at the same time and/or at the same price.

4.Eligibility to Purchase

You must be at least 18 (eighteen) years of age to use this Website and to purchase Goods and/or Services from us. By using this Website and by agreeing to these terms and conditions you warrant and represent that you are at least 18 years of age.

5.Price

The prices for goods and services displayed on the Website are quoted in pounds sterling (GBP) and include VAT unless otherwise stated. We take all reasonable care to ensure that the prices of goods and services are correct at the time when the relevant information was entered onto the system.

Prices may change at any time, but changes will not affect any order which we have confirmed with an Order Confirmation. If the price of any goods or services increases between your placing an order and our sending the Order Confirmation, we will contact you and you will have the option to continue or cancel your order.

6.Payment

Payment for goods and services must be made in full before dispatch. We accept payment by credit card, debit card, bank transfer, or other payment methods as displayed on the Website.

All payments are processed securely. We do not store your credit card or payment information on our servers. Payment processing is handled by trusted third-party payment providers.

7.Order Process and Formation of Contract

The advertising of goods and services on our Website constitutes an "invitation to treat" and your order constitutes a contractual offer. No contract in respect of any goods or services will exist between you and LOGICLEAP LTD until we have received your order, and we send you an Order Confirmation by email to confirm that we have accepted your order.

Any goods or services on the same order which we have not confirmed in an Order Confirmation as being accepted by us will not form part of the contract between you and us.

We reserve the right to refuse or reject any order at our sole discretion, including but not limited to cases where goods are not available, pricing errors occur, or we suspect fraudulent activity.

8.Delivery

We will use our reasonable endeavours to deliver goods to you at the place of delivery requested by you in your order. We shall aim to deliver the goods within the timescales indicated on the Website, but delivery times are estimates only.

All risk in the goods shall pass to you upon delivery. You shall become the owner of the goods once we have received payment in full of all sums due in respect of the goods, including delivery charges.

If delivery of the goods is delayed due to circumstances beyond our reasonable control, we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. You may cancel your order if the delay is likely to be substantial.

9.Performance of Services

We will use reasonable endeavours to perform the services with reasonable skill and care, commensurate with prevailing standards in the web development and digital services industry.

The services will be deemed to have been completed when we have carried out the services in accordance with the specification agreed with you, or when you have accepted the services as complete, whichever occurs first.

Where the services include the creation of custom software, websites, or digital products, you acknowledge that such services may require ongoing maintenance and updates, which may be subject to separate agreements.

10.Cancellation and Returns

10.1 Physical Goods

If you are a consumer, you have a legal right to cancel your order for physical goods under the Consumer Contracts Regulations 2013. You may cancel your order for goods at any time up to 90 days after the day on which you receive the goods.

If you cancel your order, we will refund the price of the goods in full, including the cost of sending the items to you (excluding any supplementary delivery charges arising from your choice of delivery method). We will process the refund due to you as soon as possible and, in any case, within 14 days of the day on which you gave us notice of cancellation.

10.2 Services

For services, you have a legal right to cancel your order at any time up to 14 days after the date of the Order Confirmation. However, once we have completed the services, you cannot cancel your order.

If you cancel an order for services after we have started performing the services, you must pay us for the services provided up until the time you tell us that you wish to cancel.

10.3 Digital Content

For digital content or services that begin immediately upon purchase (such as downloads, online courses, or instant access services), you acknowledge that you lose your right to cancel once the performance of the service has begun with your prior express consent.

11.Liability

Nothing in these terms and conditions will: (a) limit or exclude our or your liability for death or personal injury resulting from our or your negligence, as applicable; (b) limit or exclude our or your liability for fraud or fraudulent misrepresentation; or (c) limit or exclude any of our or your liabilities in any way that is not permitted under applicable law.

Subject to the above, we will not be liable to you in respect of any losses arising out of events beyond our reasonable control.

To the maximum extent permitted by law, LOGICLEAP LTD accepts no liability for any of the following:

  • Any business losses, such as loss of profits, income, revenue, anticipated savings, business, contracts, goodwill or commercial opportunities;
  • Loss or corruption of any data, database or software;
  • Any special, indirect or consequential loss or damage.

Our total liability to you in respect of all losses arising under or in connection with the contract, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total price of the goods or services purchased by you.

12.Events Outside Our Control

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a contract that is caused by events outside our reasonable control (Force Majeure Event).

A Force Majeure Event includes any act, event, non-occurrence, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:

  • Strikes, lock-outs or other industrial action;
  • Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;
  • Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster;
  • Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;
  • Impossibility of the use of public or private telecommunications networks;
  • The acts, decrees, legislation, regulations or restrictions of any government.

Our performance under any contract is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations under the contract may be performed despite the Force Majeure Event.

13.Governing Law

These terms and conditions and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

We both irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these terms and conditions or their subject matter or formation (including non-contractual disputes or claims).
